Commerzbank shares slipped 2.6% on Friday to close at EUR 40.37, as investors locked in profits following a run that had briefly pushed the stock toward a 15-year peak. The retreat leaves the Frankfurt lender 6.9% below its 52-week high of EUR 43.34, a level touched midweek before the pullback set in.

The softer close came despite upbeat commentary from chief executive Bettina Orlopp, who used a Barclays conference to reaffirm the bank's full-year targets and flag additional tailwind for net interest income in 2027. Her remarks did little to halt the profit-taking that had been building after the stock's climb to multi-year highs.

UniCredit's 49.65% Stake Awaits ECB Green Light

What continues to underpin the elevated valuation is the drawn-out takeover saga involving Italy's UniCredit. The Milan-based group has disclosed that 17.6% of Commerzbank shares were tendered by the expiry of the extended acceptance period in early July. Once regulatory clearances are granted, UniCredit would command access to just under 50% of voting rights in the DAX-listed lender — currently standing at 49.65%.

Those approvals remain the missing piece. Germany's financial watchdog BaFin has forwarded UniCredit's control application to the European Central Bank, according to media reports, but the ECB's formal verdict on the requested voting-rights majority is still pending. UniCredit is targeting operational control of the Frankfurt bank as early as the fourth quarter of 2026. Until supervisors sign off, shareholders are left in a holding pattern.

Berlin Attaches Strings to Its Position

The regulatory track is running in parallel with political maneuvering over the bank's future. Roughly a week ago, Finance Minister Klingbeil received UniCredit chief Andrea Orcel in Berlin. The German government has tied its stance to specific conditions: guarantees preserving Frankfurt as a base and the bank's stock exchange listing, extensive job protection with no compulsory redundancies, and two seats on the supervisory board.

Buyback and Capital Return Gain Pace

While ownership questions linger, Commerzbank is pressing ahead with its own capital measures. A share buyback of up to EUR 1.2 billion for the 2026 financial year is underway, having launched on September 2. Between September 4 and 11, the bank repurchased 2.24 million of its own shares on the open market. The program is designed to shrink the free float and support earnings per share.

Management has raised its 2026 net profit target to at least EUR 3.4 billion. Under its long-term "Momentum 2030" strategy, the lender plans roughly EUR 600 million in artificial intelligence investments through 2030.

Analysts Stay Cautious Despite Rate Optimism

Sell-side sentiment remains measured. J.P. Morgan lifted its price target on Commerzbank from EUR 38.00 to EUR 39.00 on September 8, but kept its rating at "neutral." That target sits below the current market price, reflecting skepticism about further upside. Whether the more bullish 2027 interest income outlook can overcome that valuation overhang will likely depend on upcoming quarterly results.
