Commerzbank’s Targets Hold, but Deposit Competition and Deal Approvals Keep Investors Guessing

Commerzbank has kept its full-year profit and revenue goals intact even as it trims its forecast for net interest income. The tension between those targets and a tougher fight for deposits is one of two tests facing investors; the other is the uncertain path of UniCredit’s proposed takeover.

The bank reported net income of 2.67 billion euros for the first nine months of 2026, up 41% from a year earlier, according to Reuters. Operating profit rose 17% to 4.04 billion euros. In the third quarter alone, net income reached 859 million euros, a 45% increase year over year.

Targets stand as interest-income outlook slips

Commerzbank reaffirmed its 2026 target of at least 3.4 billion euros in profit and its revenue goal of around 13.2 billion euros. But it lowered its forecast for net interest income to 8.5 billion euros from 8.6 billion euros, citing more intense competition for deposits.

The shares were down 0.8% today, following the results presentation yesterday. The strong nine-month figures provide a solid earnings base, but the reduced interest-income forecast leaves investors weighing how much of that momentum can be sustained.

UniCredit discussions face a regulatory timetable

The proposed combination with UniCredit remains dependent on further regulatory approvals. Commerzbank chief executive Bettina Orlopp said on Thursday that additional clearances were expected in the fourth quarter of 2026 or, at the latest, in the first quarter of 2027. The bank also said it expects the takeover offer to be completed in the coming months.

Orlopp described discussions with UniCredit, including at board level, as active and constructive. Commerzbank is seeking an amicable agreement and said it was convinced the two banks could create value together. Those statements point to engagement between the parties, but further approvals remain outstanding.

RBC Capital Markets lowered its price target for Commerzbank to 39 euros from 41 euros on Thursday, while maintaining a rating that implies performance in line with the sector. Analyst Anke Reingen cited uncertainty over the short-term consequences of UniCredit’s emerging takeover and weaker confidence in net interest income.

Earnings and buybacks offer support, not certainty

The results give investors an operating benchmark alongside the takeover discussions. Commerzbank also reported on Monday that it had made further purchases of its own shares under its ongoing buyback. The earnings and repurchases support the investment case, though neither removes the uncertainty around future interest income or the approvals process.

Commerzbank at a turning point? This analysis reveals what investors need to know now.

For the more optimistic case to strengthen, the bank would need to sustain its earnings momentum while making progress toward the expected regulatory clearances. A clearer view of both the approval timetable and the outlook for net interest income would help investors assess the prospects for the proposed combination.

Conversely, a weaker interest-income outlook alongside delays or uncertainty over approvals would put more weight on RBC’s concerns. The record nine-month profit and confirmed annual targets remain important, but the bank’s next disclosures on earnings and the regulatory process will determine how much reassurance they provide.
