Commerzbank: UniCredit Courts the Mittelstand as Deutsche Bank Circles the Same Clients
Published on 10/30/2026 at 10:51 | Editorial boerse-global.deUniCredit is reportedly reaching out to German small and medium-sized enterprises to shore up confidence in its planned takeover of Commerzbank — a charm offensive that puts customer loyalty squarely at the center of the deal story. The push comes from the Italian lender, not from Commerzbank itself, and it is aimed at companies whose trust is meant to be won amid the takeover uncertainty. Nothing in the initiative signals customer approval or suggests the transaction will succeed.
The move lands against a rival with a concrete poaching agenda. Reuters reported on October 23 that Deutsche Bank intends to win Commerzbank clients in the German corporate banking business, exploiting the uncertainty surrounding UniCredit's takeover plans. For investors, the distinction matters: an attempt to lure customers away is not evidence of actual customer losses, but it does show where the takeover debate can touch day-to-day operations. The stability of existing business relationships, not just the future ownership structure, is what hangs in the balance.
A Survey Says No — With Limits
Sentiment among financial decision-makers is hardly welcoming. A study published on October 21 by FINANCE and F.A.Z. Business Media | research polled 334 participants, and 75% rated the takeover negatively or somewhat negatively. That is a mood reading on the transaction, not a verdict on its outcome. The findings cover only the surveyed financial decision-makers; they represent neither a vote by Commerzbank shareholders nor a regulatory assessment.
Should investors sell immediately? Or is it worth buying Commerzbank?
Barclays Steps Back on Deposits
On the operational side, Barclays downgraded Commerzbank on October 22 from "Overweight" to "Equal Weight" and trimmed its price target to EUR 41 from EUR 42. Analyst Paola Sabbione expected a less pronounced improvement in third-quarter net interest income, citing tougher deposit competition in Germany as a drag. Her call addresses earnings prospects rather than takeover speculation — a separate question from the survey, and one that neither replaces an examination of the underlying business nor settles how the transaction will end.
The ECB Lightens the Load
Regulatory relief arrived on Tuesday, when the ECB cut the additional Pillar 2 capital requirement for 2027 by 5 basis points to 2.10%, effective January 1, 2027, according to Commerzbank. At least 1.18% of that must be covered with hard core capital. The decision eases the bank's capital burden but says nothing about expected net interest income or about approval of the takeover — investors should not read it as an improvement across every valuation factor.
Two Dates That Matter More
On November 5, Commerzbank publishes its third-quarter 2026 results. In November, the EU Commission is also due to decide on UniCredit's takeover bid. Both the operating trajectory and the transaction's prospects therefore face important tests — and the negative sentiment captured in the survey forms relevant background without pre-empting either outcome.
