European Lithium Sets September 22 Vote Mailout as Court Clears Path to Nasdaq Listing

The judicial green light, granted last Tuesday, triggered a 3.1% advance in the stock, which closed at EUR 0.2140.
The company has registered its Scheme Booklet with the Australian Securities and Investments Commission, a step that paved the way for the next phase of the process. Voting documents are scheduled to reach security holders on September 22, 2026, with shareholder meetings to approve the scheme of arrangement set for October 2026.
Should investors give the nod, European Lithium's shares would cease trading on the ASX on October 27, 2026. Critical Metals expects to list its new shares on the Nasdaq technology exchange on November 6, 2026, and — subject to outstanding approvals — to formally close the transaction sometime in November 2026.
Deal Terms Shifted to a Floating Ratio
The merger, valued at USD 835 million, will fold European Lithium into Critical Metals on a share-for-share basis. Existing European Lithium holders are set to own 41% of the combined company once the deal completes.
Roughly a month ago, the two partners reworked the terms of their agreement, scrapping a fixed exchange ratio of 0.035 in favor of a flexible mechanism. At the time of announcement, that formula produced a ratio of 0.045 Critical Metals shares, calculated on the average price of the US stock below the USD 8.00 threshold. Agreed collar bands are designed to shield both sides from short-term price swings before the transaction closes.

On November 25, 2025, Austria's Federal Administrative Court overturned the project's exemption from an environmental impact assessment, ruling that the area threshold applied was incompatible with European law. Critical Metals said at the time that the decision would not affect its targeted timeline for starting mining operations.
The project received a boost on February 2, 2026, when Austrian authorities extended the Wolfsberg mining license by two years. A heads of agreement with Saudi partner Obeikan is also in place, with a decision on whether to begin extraction targeted for the end of 2026.
Funding Squeeze Clouds Europe's Raw Materials Push
The transaction is unfolding against a difficult financing backdrop for European resource developers. Reuters reported on September 8 that several developers of strategic EU projects are warning that liquidity shortages could put their plans at risk, hampering efforts to reduce the bloc's reliance on China for critical raw materials.
For developers of European battery metals, dependable access to capital remains the decisive factor in bringing complex mining and processing facilities to commercial maturity. The merger with Critical Metals is intended to shore up the project's financial viability and widen its access to international investors, placing the future rollout of Wolfsberg on a broader footing.
What Hangs on the October Vote
European Lithium's stock has climbed 136% since the start of the year, with the shares last changing hands at EUR 0.2130. Whether that momentum carries through to a Nasdaq listing now rests on the outcome of October's shareholder meetings — the final hurdle before the planned move to the US market can proceed as scheduled.
