IREN's Mirantis Hangover: A $625 Million Bet Complicated by a Twelve-Million-Share Shadow

The market's verdict on IREN's acquisition of Mirantis was delivered in the language of share certificates, not strategy memos. When the cloud-software deal formally closed last week, investors didn't celebrate the expanded platform — they braced for the dilution. The transaction, valued at roughly $625 million at closing, was paid out in approximately 12.6 million IREN shares alongside about $40 million in cash and other considerations. Now, a separate filing with US regulators — Form 424B7 — clears the way for the former Mirantis owners to offload nearly 12 million of those shares on the open market.
That overhang hit hard on Monday. German trading saw the stock close at €33.54, down 5.95 percent, with the weekly deficit stretching to 5.32 percent. Across the Atlantic, the Nasdaq-listed shares fell around six percent, briefly slipping below the $39 threshold that traders had pegged as a key support level.
A Valuation Debate That Won't Settle
The pullback is the latest chapter in a consolidation that has been building for months. IREN now trades 16.49 percent beneath its 50-day moving average of €40.16, and the distance from the early-November 52-week high of €68.61 has widened to 51.11 percent. One widely cited valuation model puts fair value at just $12.34 per share, implying the equity is overvalued by roughly 214 percent.
The trailing twelve-month price-to-earnings ratio of 76.7 — more than double the company's own five-year median of 35.9 — gives skeptics ammunition. Bulls counter that aggressive growth commands a premium, and the growth numbers are indeed striking. IREN has reaffirmed its target of exceeding $4 billion in annualized AI-cloud revenue run-rate by year-end, with around 85 percent of that figure already locked in through contracts. New customer agreements signed this year alone total $2.8 billion.
Should investors sell immediately? Or is it worth buying IREN?
Institutional Money Moves In
The selling pressure from the share overhang hasn't deterred heavyweight investors — quite the opposite. BlackRock expanded its stake by 198.74 percent through the end of June, building a position of roughly 13.3 million shares valued at about $608.9 million. Bank of America added 58.4 percent to reach 2.14 million shares, while Bank of New York Mellon more than decupled its smaller holding. Situational Awareness LP grew its position by 34.5 percent to nearly 11.7 million shares, and TTRF Capital made IREN its eighth-largest portfolio holding during the second quarter.
The analyst community has also weighed in constructively. Bernstein's Gautam Chhugani maintains an "Outperform" rating with a $100 price target, arguing that IREN's secured, grid-connected capacity gives it a structural edge as Texas Governor Greg Abbott's directive prompts the Public Utility Commission and ERCOT to scrutinize data-center projects awaiting grid connection. Consensus price targets have been revised upward by 7.3 percent to $80.49 following the company's raised AI-cloud revenue guidance.
The Cost of Scaling
Yet the losses remain part of the equation. Analysts project a per-share loss of $1.96 for fiscal 2026, with the upcoming quarterly results — expected August 27 — forecast to show a deficit of around $0.80 per share. IREN is scaling aggressively, but it's burning cash to do so.
The strategic transformation is real: Mirantis shifts IREN from a raw compute landlord into a managed AI-cloud platform provider. That's a pivot with genuine execution risk, distinct from the headline-grabbing contracts with Microsoft and Nvidia that have already been widely reported. The stock's twelve-month gain of 116.67 percent tells the long-term story, but the year-to-date figure — a marginal 0.68 percent decline — reveals how much ground has been given back since the autumn peaks, even before the Mirantis-related selling pressure emerged.
For investors weighing the trade, the calculus is straightforward: secured grid capacity, expanding enterprise contracts, and a new software platform argue for the structural thesis. But the 424B7 overhang and persistent losses are not background noise — they're tangible drags. Buying IREN means accepting volatility and loss risk alongside the growth narrative, and Monday's session was a reminder that the market hasn't forgotten that trade-off.
