A block of 8,689,086 Lenzing AG shares has been pledged by B&C KB Holding GmbH, according to a mandatory disclosure published on Tuesday that names 23 October as the transaction date. The filing lands just as the Austrian fibre maker finishes tidying its shareholder register following a completed cash call — and days before it opens its books for the third quarter.

The pledge is the largest single item in a cluster of disclosures. Members of Lenzing's management board also reported purchases: chief executive Georg Kasperkovitz took shares through the subscription rights offering, while fellow board member Christian Skilich bought Lenzing stock on the Vienna Stock Exchange. Both trades were dated 23 October. Oberbank likewise exercised its rights and picked up shares.

Syndicate Holds Steady at 52.25%

Once the capital increase settled, the syndicate formed by the B&C group and Suzano S.A. continued to hold roughly 52.25% of voting rights, Lenzing said. Suzano Holding S.A. separately acquired a direct stake of about 0.80%. Goldman Sachs Group's holding was put at 5.86% of Lenzing shares, and NN Group's reported voting share climbed to 4.27% from 2.54% about a week earlier.

Should investors sell immediately? Or is it worth buying Lenzing?

The new capital base is now fixed. Lenzing reported 73,374,542 voting rights in total, with share capital of EUR 76,204,702.90; the change in total voting rights has been effective since 22 October. The completed cash capital increase generated gross proceeds of around EUR 301.2 million from the issue of 34,756,362 new shares at EUR 8.65 apiece. The subscription offer drew a take-up rate of 99.0%, leaving the consortium banks to place the unsubscribed shares on the market.

Heiligenkreuz Closure Pushed to Early 2027

On the operating side, ORF reported that Lenzing has delayed the planned shutdown of its Heiligenkreuz site to the first quarter of 2027 from the end of 2026. A company spokesperson said the production transfer is intended to ensure uninterrupted customer supply; the site employs around 285 people.

The shares slipped 2.5% in a weak Vienna market, with dpa-AFX attributing the pressure on Austrian equities to rising oil and gas prices and soft international technology stocks.

Next on the calendar is the release of third-quarter 2026 results on 5 November, scheduled in Lenzing's financial calendar for a window between 15:00 and 16:00 CET.
