Metallium has handed Traxys North America a one-way exclusivity arrangement over prospective US critical-metals ventures, and the asymmetry is the story. Under a letter of intent announced today, the company's Flash Metals USA subsidiary is barred from discussing alternative partnerships in the agreed field until 31 December 2026. Traxys faces no matching restriction.

That deadline is a target for hammering out definitive agreements on selected projects, not a guarantee that any will be signed. The broader framework runs until 30 November 2027 and either side can walk away on 30 days' notice.

What the arrangement does not contain matters just as much as what it does. There are no binding volumes, no prices, and no commitments on offtake, financing or investment. No fees or share issuances are attached to the framework either. Metallium's US arm has therefore tied up its negotiating options for the coming months while its potential partner retains a free hand — and has secured nothing firm in return.

What the two sides will actually examine

The review covers the possible integration of Metallium's Flash Joule heating technology, based in Texas, into American supply chains. Sourcing and processing of feedstock sit alongside the potential marketing and offtake of the resulting metals, with toll processing, price hedging and offtake-linked prepayments also on the table. Working capital and a possible strategic investment round out the list. Every one of these items is a subject for study rather than a pledged contribution.

Should investors sell immediately? Or is it worth buying Metallium?

The metals under consideration span magnetic rare earths as well as gallium, germanium, indium, tungsten, copper and platinum group metals. That roster maps out the potential search area of the cooperation; it does not establish processing capacity or existing sales for any of the metals named.

Traxys brings scale to the table, reporting annual revenue above US$10bn across more than 65 raw materials. Its sourcing, marketing and financing expertise could complement Metallium's technical platform on the commercial side. What it does not bring, at this stage, is a contract.

Project Vault is a separate matter

Traxys' role as a supplier to Project Vault does not extend to Metallium. The letter of intent neither makes Metallium a participant in that programme nor unlocks US government funding or a government purchase commitment. Nor does it confer supplier status within the initiative.

For investors, the yardstick is the outcome of the review rather than its breadth. A definitive agreement with concrete economic obligations would be the next hard milestone, and only then would the terms Metallium can actually command become visible. Until that point, the upside of potential marketing and financing opportunities sits alongside the risks that come with scaling a technology and qualifying products — with further equity needs remaining a live possibility.

Today's announcement creates a negotiating framework. It does not yet demonstrate a funded commercial build-out.
