In exchange, Metaplanet will receive 44,859,400 common shares priced at $3.00 each, plus preferred shares and warrants.

The transaction, expected to close in the fourth quarter of 2026, would leave Metaplanet holding roughly 95.7% of Super League's outstanding common stock. The entity will be renamed "Superplanet, Inc." and will trade under the ticker "SUPA" — a move that effectively creates a US-listed vehicle for Metaplanet's bitcoin treasury strategy.

The operational numbers provide some justification for the expansion drive. First-half 2026 revenue came in at ¥4.94 billion, up 134% year over year, while operating profit jumped 136% to ¥3.33 billion. The company also reported a bitcoin yield of 9.6% since the start of the year — a metric measuring the growth of bitcoin holdings relative to share count.

A Vote of Confidence With Limits

The lock-up on Gerovich's newly acquired shares reads as a deliberate signal of management's faith in the long-term strategy. But for investors hoping for a near-term turnaround, insider buying of this nature typically plays out over years, not weeks.
