Metaplanet's shareholder base has picked up another institutional name, with Vanguard's small-cap exchange-traded fund VSS disclosing a fresh stake in the Japanese Bitcoin treasury company. The position covers roughly 4.5 million shares valued at $7.5 million, giving the fund indirect exposure to Bitcoin through a listed equity rather than the digital asset itself.

The disclosure concerns VSS specifically, not Vanguard as a whole. Other products from the same fund family were already on the register: VGTSX has been credited with 15.64 million Metaplanet shares, while VJPN had previously accumulated 704,500. The new filing therefore extends an existing institutional presence rather than marking a first-ever entry by the asset manager.

That distinction matters for anyone reading the headline as a fresh endorsement. A fund holding is a portfolio line, not a price target, and the reported dollar value says nothing on its own about whether Metaplanet shares are cheap or expensive. What it does do is tighten the link between conventional equity portfolios and Bitcoin exposure — a connection that has become central to how the Tokyo-listed company is valued.

A second, larger ownership shift

The Vanguard filing lands alongside a more consequential change at the top of the register. Metaplanet disclosed on Friday that Capital Research and Management Company has become its largest major shareholder, with a voting-rights stake of 11.11% as of October 16. Investors now have to weigh the ownership picture next to the company's financing activity — the two are related in narrative but separate in substance.

Should investors sell immediately? Or is it worth buying Metaplanet?

Capital Research's position is a statement about who holds the votes, not a commitment to inject capital. Metaplanet's own funding moves are a different matter entirely. The company has finalised terms for an unsecured euro-yen convertible bond with a total nominal volume of ÂĄ52.0 billion maturing in 2031. Proceeds are earmarked for debt repayment and share buybacks, according to the company.

That dual purpose frames how the bond should be read: it addresses existing liabilities while also funding action on the equity side. Neither the larger voting block nor the bond terms imply that fresh money is flowing in from the new major holder.

Buyback completed, US deal still pending

One piece of the capital plan is already done. Metaplanet completed an off-auction repurchase through ToSTNeT-3, acquiring 73,981,400 shares for a total of ÂĄ19,309,145,400. A finished buyback and a stated use of bond proceeds remain distinct events, even though both sit under the same financing umbrella.

Further out, the US transaction remains conditional. Shareholders of Super League have approved the investment-related resolutions, clearing one gate — but the deal is not closed. At completion, the wholly owned subsidiary Metaplanet Holdings, Inc. is set to contribute 2,100 Bitcoin and $2.5 million into Super League. The entity would then be renamed Superplanet, Inc. and serve as Metaplanet's US platform for its Bitcoin treasury.

Closing is expected in the fourth quarter of 2026, subject to customary conditions. The sequence for investors is therefore layered: the major shareholder is on record, the buyback is complete, and the convertible bond is fixed on final terms — while the US transaction stays a proposal with strings attached. A redrawn shareholder register does not substitute for that outstanding closing.

Metaplanet at a turning point? This analysis reveals what investors need to know now.

Market backdrop offers no lift

None of the ownership news translated into buying on the day. Metaplanet shares changed hands at €1.48, down 0.8%, as a softer crypto backdrop weighed on sentiment. Bitcoin came under pressure over the weekend, with reports pointing to Middle East tensions as well as concerns over energy prices and monetary policy.

The fund disclosure thus arrived in a market that was already trimming risk. Two layers need separating when assessing the VSS position: the fund holds Metaplanet stock and thereby gains indirect Bitcoin exposure, but the filing does not turn the shares into a direct Bitcoin holding of the fund.

The next company-specific checkpoint is the release of business figures on November 13, which will give investors a chance to assess operating performance alongside the ownership structure. Whether the additional Vanguard fund on the register translates into lasting tailwind is a question the position disclosure alone cannot answer.
