Metaplanet Wields Hong Kong Expansion and Warrant Cancellations to Rebuild Investor Trust

Japan's Metaplanet is mounting a two-front campaign to shore up confidence, pairing an overseas operational build-out with a sweeping redesign of how it pays and dilutes shareholders. The moves arrive as listed companies that park their reserves in digital currencies endure one of their roughest stretches on record.
Across the so-called digital-asset-treasury sector, fully diluted market capitalization has slid to roughly $90 billion, a drop of about 40% from peak levels, according to Artemis data. Bloomberg puts the cumulative hit to shareholders in the space at an estimated $50 billion. Metaplanet has absorbed its share of that pain — and on the day its latest structural changes surfaced, the stock was changing hands at €1.46, up 7.3%.
A Hong Kong Beachhead and a Reshuffled C-Suite
The board confirmed on Friday the creation of Metaplanet Asset Management Asia Limited, a wholly owned Hong Kong subsidiary slated for incorporation this month with $1 million in seed capital. The unit is intended to serve as an operating platform that dovetails with the group's existing global infrastructure, with media reports pointing to improved management of digital assets and a wider international footprint as the goal.
Leadership changes landed alongside the expansion. Shinpei Okuno stepped into the roles of Executive Officer and CFO effective Friday, taking charge of financial strategy, capital policy and investor relations. Yoshihisa Ikurumi also joined the executive ranks as Executive Officer and Director of Administration. The reshuffle follows a stretch in which CEO Simon Gerovich publicly pledged better disclosure and transparency toward shareholders after criticism of the company's prior communications.
Capital Structure Gets a Haircut
On the balance-sheet side, the board has proposed reducing the company's stated capital to just ¥1 — a bookkeeping maneuver frequently used to open up flexibility for future financing. Pre-market trading greeted the news with a shrug, with the shares at €1.36, a modest 0.2% gain.

More consequential changes to subscription rights had already been set in motion about two weeks earlier. The Series 10 stock acquisition rights pool was cut by 41.1%, shrinking from a potential 319.5 million shares to 188.2 million. The number of shares obtainable per warrant fell from 696 to 410 in tandem.
Gerovich said the adjustment neutralized option value exceeding $220 million while lifting Bitcoin per diluted share by 8.8%. A separate reduction of the management compensation "chief pool" accompanied the warrant cancellations, and outside experts have been brought in to rebuild salary and incentive structures for the current market climate.
Ownership Filings Reflect the Technical Shift
The restructuring leaves fingerprints on official stake disclosures. The reported voting rights ratio fell by 4.98 percentage points — a decline driven not by share sales but by revised terms for the Series 10 rights. Fewer shares per warrant, combined with adjustments to already-exercised rights, lowered the count of potentially held shares. Such technical recalibrations are central to the company's push for a more transparent, less dilutive capital structure.
Bitcoin Holdings and a Super League Tie-Up
Digital currencies remain the load-bearing wall of the company's valuation. With 43,000 BTC on the books, each share corresponds to roughly 0.0286646 Bitcoin — an improvement over the level recorded at the end of June.
To broaden that strategy, Metaplanet has struck an agreement to take a stake in Super League Enterprise. By contributing 2,100 BTC and $2.5 million, the company is targeting a 95.7% majority holding, with a rename to Superplanet in the works.
Chart Still Bruised
The technical picture offers little comfort. The stock is down 39% year-to-date, and at €1.36 it sits 63% below its 52-week high of €3.70, set in early October of last year. How efficiently the incoming CFO executes the announced capital measures — and whether the Hong Kong push delivers the intended operational edge — will shape what comes next.
