Arkady Volozh's decision to part with 37,778 Nebius shares on October 1 drew immediate attention — but the CEO's transaction, alongside CTO Danila Shtan's disposal of 14,546 shares, was not a voluntary sale. Both transfers served to cover withholding taxes on vesting compensation stock, according to mandatory regulatory filings. Even so, the timing landed in an awkward spot: a market already hunting for reasons to lock in profits after a spectacular run.

The stock closed at EUR 207.40 on European exchanges, down 3.8% for the session. A separate reading put the decline at 3.3% to EUR 208.60 as a broad pullback in technology names weighed on the sector. No company-specific negative news explained the drop. US tech giants had retreated from record highs as investors turned cautious amid rising Treasury yields and firmer oil prices, and AI infrastructure providers across the board surrendered ground after outsized gains. Nebius shares had even shown strength in pre-market trading before the gloomier mood dragged them into the red.

The Valuation Tightrope

This consolidation arrives after a year-to-date advance of 182% — or 184%, depending on the measurement point — a climb that has forced investors to weigh fundamental risks more heavily against future promises. Analysts now see only limited upside remaining after the steep ascent of recent months.

Should investors sell immediately? Or is it worth buying Nebius?

The capacity buildout behind that rally carries a hefty price tag. Management is targeting capital expenditures averaging USD 22.5 billion for fiscal 2026, set against projected annual revenue of just about USD 3.2 billion. Free cash flow remains deeply negative. To feed its hunger for data centers and GPUs, Nebius turned to a USD 5.75 billion convertible bond in August — fresh capital that accelerates physical expansion but stokes legitimate dilution concerns among existing shareholders.

Customer concentration adds another layer of risk: roughly four-fifths of a total order backlog exceeding USD 40 billion is tied to just two major clients, including a contract with Meta worth at least USD 12 billion.

Platform Expansion Continues

Operationally, the company is pressing ahead. For the third quarter of 2026, Nebius unveiled new product features including Cloud Interconnect, a dedicated private link between the Nebius AI Cloud and customer networks that offers MACsec encryption on the last mile and aggregation of 100G and 400G ports. The company also acquired Inferize, whose financial terms were not disclosed, folding its inference-optimization technology and engineering team into the Nebius Token Factory to sharpen the performance of its production infrastructure.

Between technological prestige and commercial discipline runs a narrow ridge. Nebius delivers impressive operational momentum, but it demands extremely high risk tolerance from its shareholders. Anyone investing here is betting not only on the success of artificial intelligence, but on the hope that the enormous capital costs do not ultimately consume that success.
