Nel ASA has attached a NOK 5 million incentive package to its incoming chief executive, Morten Holum, splitting the award into NOK 2 million in cash and NOK 3 million in restricted share rights. The arrangement, disclosed yesterday, gives the next CEO a direct stake in the equity story. What it does not do is prove that the company's operations have turned a corner.

That distinction matters because Nel's third-quarter 2026 report, released roughly a week ago, laid bare a widening gap between demand and delivery. Revenue from customer contracts fell 63% to NOK 112 million, while EBITDA came in at NOK -93 million. Order intake, by contrast, surged 339% to NOK 253 million, lifting the backlog to NOK 1,314 million.

A backlog is not a revenue line

The temptation for investors is to read the order surge as the start of a recovery. The figures argue for caution. New orders strengthen the outlook but cannot substitute for revenue already earned, and a backlog of NOK 1,314 million represents potential billings rather than booked income. Media reports suggest a substantial portion of that pipeline carries significant delivery risk, which makes execution — not order growth alone — the variable that matters.

Even a genuine top-line rebound would not settle the question. With EBITDA still deeply negative, any optimistic valuation continues to rest on better business down the road. Interpreting stronger bookings as an operational turning point would be premature until the numbers confirm it.

Should investors sell immediately? Or is it worth buying Nel ASA?

Two projects, two very different commitments

The commercial announcements of the past week illustrate how uneven Nel's pipeline remains. Nel Hydrogen US, the company's American subsidiary, booked an order worth about USD 12 million for containerised PEM electrolysers and associated services, with delivery expected in 2027. That is a firm commitment.

The collaboration with Rheinmetall is another matter entirely. It is a non-binding letter of intent, and any further steps depend on joint feasibility studies and mutual agreement. Investors would be wrong to treat the two announcements as equivalent evidence of demand.

Leadership handover sets the calendar

Holum is slated to take the top job no later than 1 May 2027. Håkon Volldal will step down from his executive duties at the end of October 2026, leaving a transition period at the helm that runs alongside the long-term pay package.

Nel ASA at a turning point? This analysis reveals what investors need to know now.

For shareholders, the succession and the operating story are separate tests. The appointment offers a personnel horizon; the commercial reckoning lies in converting the existing order book into shipments and sales. Whether Nel can narrow the distance between buoyant order intake and weak realised revenue under its new leadership is the question the quarterly figures will have to answer.
