Nemetschek's Growth Engine Is Running — but the Margin Meter Is Flashing

The Munich-based construction software group is living a split-screen reality. Its second-quarter numbers, released Thursday, show a business growing at a double-digit clip while profitability comes under siege from currency swings and the integration of its largest-ever acquisition, US-based HCSS. Investors responded with a modest 2.22 percent bump on Monday, lifting the shares to 59.95 euros — a far cry from the 137.90-euro peak touched in August of last year.
The arithmetic of the HCSS deal
Nemetschek's management had already flagged the trade-off in late July. An ad-hoc announcement on the 28th revised the 2026 outlook to account for the HCSS purchase, which is expected to add roughly 600 basis points to currency-adjusted revenue growth. The flip side: an EBITDA margin dilution of about 150 basis points, driven by integration costs and purchase price allocation effects. In plain terms, the company is buying faster growth at the expense of near-term profitability — a bargain that shareholders have so far greeted with skepticism.
The second-quarter figures illustrate the tension. Currency-adjusted revenue climbed 14.5 percent to 327.7 million euros, a beat that won praise from analysts. Reported EBITDA margin came in at 30.1 percent, or 31.0 percent when stripping out acquisition-related costs. Earnings per share rose 25.3 percent to 0.57 euros. The drag on operating results came chiefly from currency effects in the design segment, which pushed EBITDA below consensus expectations.
Analysts split on the recovery case
The brokerage community remains divided on what comes next. Berenberg reaffirmed its "Buy" rating on Friday with a price target of 115.00 euros, while JP Morgan held its "Overweight" stance at 110.00 euros the same day. Jefferies, which confirmed its "Buy" rating on Thursday, sits at a more conservative 70.00 euros — still above the current price but reflecting a markedly different view of the risk-reward equation.
That spread mirrors the central question hanging over the stock: does the robust growth story outweigh the margin drag from currency and the HCSS integration? The bulls point to the underlying demand for construction digitization, the expanding recurring revenue base from SaaS and subscription models, and the opening of the US infrastructure market through HCSS. The bears counter that integration risk is real, synergies may take longer to materialize than hoped, and restructuring costs will weigh on net income.
While Nemetschek navigates the risks of a major integration, construction firms face their own set of compliance hazards — especially when it comes to documenting workplace risks. Chart signals and what to watch
The technical picture offers cautious encouragement. The stock has climbed 8.31 percent over the past 30 days, and at 59.95 euros it sits roughly 3 percent above its 50-day moving average of 58.19 euros — a sign that the freefall that followed last year's peak may be losing momentum. From the year's start, however, the shares remain down 35.40 percent, and on a 12-month basis the deficit is even steeper at 55.30 percent.
The 200-day average of 72.65 euros still looms well overhead, a reminder that the longer-term trend has yet to turn. With annualized volatility near 61 percent, the market is clearly still on edge. A sustained break below the 50-day line could reopen the path toward the year's low of 50.45 euros, while holding above it would support the case for continued bottoming.
There are also catalysts on the horizon beyond the next earnings report. Graphisoft, a Nemetschek subsidiary, is slated to launch the first test phase of its web-based AI platform "Design Intelligence" in October 2026, a move aimed at automating design processes for architects and engineers. Management will also have a chance to frame the HCSS narrative at Berenberg and Goldman Sachs' "15th German Corporate Conference" in Munich in late September, ahead of the third-quarter numbers due November 5.

For now, the market is weighing a simple question: whether the temporary margin pain buys a durable growth advantage — or simply a more expensive integration bill. The next few quarters will supply the answer.
