Telecom Italia's shareholder structure has shifted decisively in favour of Poste Italiane, and the ripple effects are already reshaping Italy's telecommunications landscape. The postal group's stake in the Rome-based carrier climbed past 67% on Monday, crossing the threshold at the reopening of the acceptance window, when holders tendered 8,579,804 shares — roughly 0.4% of the share capital.

The mechanics of the offer give remaining investors little room for ambiguity: each share brought to the bid converts into 0.218 new Poste Italiane ordinary shares plus EUR 1.97 in cash. Management under Poste CEO Matteo Del Fante and general manager Giuseppe Lasco is holding firm on a 90% target, the level required to delist Telecom Italia entirely and fold it into the group's legal structure.

A EUR 27 Billion Combination Takes Shape

The tie-up creates a conglomerate of considerable weight. Poste Italiane and Telecom Italia generate a combined annual revenue of approximately EUR 27 billion, with operating profit of EUR 5 billion. Roughly EUR 700 million in annual synergies are targeted, of which about EUR 500 million is expected to come from pure cost reductions. The enlarged group would employ more than 150,000 people and span telecommunications, logistics and financial services. Telecom Italia's 68% stake in Brazil's TIM Brasil would fall under Poste Italiane's indirect control as a result.

Standard Ethics Steps Back

The consolidation has prompted Standard Ethics to suspend its sustainability rating on Telecom Italia, citing the ongoing exchange offer and the prospect of a delisting. The agency had previously scored the carrier at "E+" and will keep the future group structure and its integration into Poste Italiane under review. Poste Italiane itself currently carries an "E+" sustainability classification from the agency. The suspension carries practical weight for Telecom Italia, since institutional investors rely on such assessments to meet regulatory requirements, and the strategic focus now shifts toward alignment with the new majority owner.

Enel Answers With Its Own Mobile Play

The emergence of a national champion has not gone unanswered. Energy group Enel is launching Enel Mobile, a virtual operator running on the network infrastructure of Fastweb and Vodafone. With download speeds of up to 2 gigabits per second and bundled tariffs aimed at existing electricity and gas customers, Enel is positioning itself as a direct challenger to the new alliance.

Network Business Draws Fresh Volume

Away from the ownership battle, Telecom Italia's wholesale operations are gaining ground. Virtual mobile provider Ops! Mobile is migrating its customer base onto the carrier's infrastructure, a move driven by parent company Retelit's platform switch toward Telecom Italia for wholesale services. The technical migration of mobile SIM cards is scheduled to begin in October 2026 and run in stages until March 2027. End customers will gain access to Telecom Italia's 5G network and, for the first time, to electronic SIM cards.

Market Reaction

Shares of Telecom Italia slipped 3.1% to EUR 7.54 in Milan trading on Tuesday, following a close of EUR 7.76 the previous session. Despite the pullback, the stock remains up sharply for the year, with gains of 47% to 51% depending on the reference point. The company's market capitalisation stands at EUR 16.52 billion, keeping it at the centre of the coming consolidation of Italy's telecom sector. Whether the full integration proceeds as planned will hinge on the next steps of the tender process.
