Qiagen has pencilled in November 4 for the full release of its third-quarter 2026 results, with the announcement scheduled for roughly 22:05 Frankfurt time. There will be no earnings call, the company confirmed — an unusual silence that fits a group whose near-term story is now told by a takeover offer rather than by quarterly guidance.

The provisional figures landed on October 21. Net sales for the quarter came in at $548 million, a figure that held steady on both a reported and a constant-currency basis. Adjusted diluted earnings per share reached $0.65, likewise unchanged across both currency measures. Qiagen has suspended its full-year 2026 outlook for as long as the EQT transaction remains pending.

Takeover Paperwork Piles Up at the SEC

The buyout architecture has been moving through US regulatory channels. On October 23, Qiagen filed its agreements for the planned EQT acquisition with the Securities and Exchange Commission; the mandatory Form 6-K disclosure bundles the joint press release, the ad-hoc announcement and the business combination agreement. Two days earlier, the company had already lodged tender offer materials on Form SC 14D9-C, while bidding vehicle Crown NL Bidco B.V. submitted its own documents on Form SC TO-C.

Should investors sell immediately? Or is it worth buying Qiagen?

The cash offer, agreed a little over a week ago, values each Qiagen share at €46.50. Both the management board and the supervisory board back the deal and have unanimously recommended that shareholders tender their stock. Closing is targeted for mid-2027, subject to a minimum acceptance threshold of 50% plus one share and the necessary regulatory clearances.

Sovereign capital is lining up behind the bid. According to a Handelsblatt report dated October 22, ADIA and CPP Investments are participating as co-investors, with Crown NL Bidco B.V. serving as the bidding entity.

Brokerages Trim Their Ratings

Analyst sentiment has shifted in the offer's wake. JPMorgan cut Qiagen from "Overweight" to "Neutral" on October 22, pointing to the EQT bid, and trimmed its price target to $52 from $55. A day later, Baird followed with a downgrade of its own, moving from "Outperform" to "Neutral" while holding its $52 target unchanged, according to media reports. Both moves came after the EQT agreement was struck.

The twin downgrades leave little room for upside in the current ratings landscape: with the offer price effectively anchoring the stock, brokers are stepping back rather than betting on further gains.
