A Deal Structured to Stretch Dilution Over Two Years
The acquisition, which makes Quantum.IQ a wholly owned subsidiary, was financed through a share-based structure designed to temper the immediate dilution hit to existing holders. Redwood AI issued up to 14,033,558 common shares at an assumed price of CAD 2.98 to Quantum.IQ's former shareholders, with the bulk — 7,033,558 shares — subject to a staggered lock-up period spanning 24 months.
An additional tranche of up to 7,000,000 shares is tied to milestones around customer and revenue growth, released only when those targets are met. On top of that, 50,000 shares went out as an administrative fee and 100,000 as a brokerage commission, both carrying holding periods of four months and one day.
The arrangement keeps the seller's side tethered to Redwood AI's future performance over an extended horizon, pushing a meaningful portion of the share issuance into the next two years rather than unloading it on the market all at once.

That invitation follows a June letter of intent with the University of Global Health Equity to research AI-driven genomic pathogen tracking, and the rollout of a Chemical Risk Assessment Module within the Reactosphere platform, for which a preliminary patent application was filed in early June. The pattern is clear: Redwood AI is positioning itself as a provider of AI tools for environmental monitoring and health data, broadening its technological base rather than betting everything on the Quantum.IQ integration.
Marketing Spend Rises as Cash Remains Tight
To bolster visibility for the expanded business, Redwood AI has signed a series of marketing agreements. A deal with MCS Market Communication Service GmbH covers online marketing services worth CAD 810,000, running until November 10 or until the budget is exhausted. Separately, the company brought on Outside the Box Capital Inc. for social media marketing, influencer partnerships and video production — an arrangement spanning August through February 2027 that includes CAD 150,000 in cash plus 105,000 stock options.
The timing is notable given the company's financial position. Redwood AI continues to operate at a loss, as reflected in its third-quarter and nine-month results for the fiscal year ending May 31, 2026. A private placement completed roughly a month ago raised CAD 3.5 million from a US investor, proceeds earmarked for operational projects including the Rwanda cooperation. Against that backdrop, low-cost partnerships like the Kigali invitation offer a relatively inexpensive route to raising the company's profile in new markets without further straining its limited resources.

The rebound from the low suggests the closing of the Quantum.IQ deal was received positively by investors who had been sitting on uncertainty about whether the transaction would go through.
