The recent surge in SAP's share price has drawn plenty of attention, but the quieter story unfolding in the background may matter more: the company's largest institutional holders and founding family are both quietly adding to their positions. BlackRock lifted its voting-rights stake in the Walldorf-based software group to 6.75 percent, a marginal increase from the 6.74 percent previously reported, with the threshold crossing recorded on 5 August. For one of SAP's most significant institutional shareholders, the move is modest in size but notable in timing — it comes as the stock consolidates after a powerful rebound.

The founding family has been active as well. Harald Tschira reported a corrected voting-rights stake of 4.22 percent in early August, a figure that reflects voting-pool agreements with Udo Tschira. The three-percent threshold was actually crossed on 20 July, making the disclosure retroactive. For observers of the shareholder register, the filings suggest the family is deliberately managing its position within the ownership structure while the share price recovers from its multi-year low.

A Pause After a Powerful Run

The stock was changing hands at 179.10 euros on Wednesday, down 1.24 percent on the day — a breather rather than a reversal after weeks of strong gains. The dip follows a session in which the shares already lagged the broader market. Given the scale of the preceding rally, some consolidation was widely expected.

That rally has been substantial. The shares closed Tuesday at 181.34 euros, up 29.31 percent over the past 30 days. Still, the stock remains 13.44 percent lower year-to-date, and it sits roughly 27 percent below its 52-week high of 249.90 euros, reached in August 2025. Technical indicators suggest the move may have gotten ahead of itself: the Relative Strength Index stands at 76.7, pointing to overbought conditions, while the share price trades more than 23 percent above its 50-day moving average of 146.95 euros.

What's Driving the Recovery

The catalyst for the recent advance predates the current consolidation by about a week. The European Commission and Germany's Federal Cartel Office closed their preliminary inquiries into SAP's on-premise maintenance practices after the company offered binding commitments — no formal proceedings were initiated. Since that announcement, the shares have gained 6.1 percent.

Around two weeks ago, SAP completed its acquisitions of Dremio and Prior Labs, two software firms intended to bolster the company's data-management and artificial-intelligence capabilities. That news has driven the stock up 18.8 percent since the deals closed. The same transactions, however, are also behind a modest cut to the company's 2026 profit outlook.

Guidance Trimmed on Deal Dilution

SAP now expects non-IFRS operating profit for fiscal 2026 in a range of 11.8 to 12.2 billion euros, down from its previous targets. Management attributes the adjustment to dilution from the recent acquisitions. JPMorgan described the revised guidance as a "negative surprise," pointing to margin development in the second quarter.

UBS analyst Michael Briest reaffirmed his buy recommendation on Monday with a price target of 164.00 euros — notably below the current trading level. Briest sees limited upside after the recent share-price appreciation, suggesting the rally may already reflect much of the good news.

The company also confirmed its cloud revenue guidance for 2026 at 25.8 to 26.2 billion euros alongside its second-quarter results in late July — a reaffirmation that has contributed 6.1 percent to the share price gain since then.

Looking Ahead

The market will get its next read on how the integration of Dremio and Prior Labs is progressing when SAP reports third-quarter results on 20 October. Until then, the tension between analyst caution and the stock's momentum remains unresolved. What seems clearer is that neither BlackRock nor the Tschira family has been deterred by the recent volatility — both have chosen to increase their exposure while the shares recover, a signal that the biggest players in the register retain confidence in the company's trajectory.
