T1 Energy Registers 13.4 Million Shares for Discovery Resale as Dallas Waiver and 1.58 GW Order Book Take Shape
Published on 10/31/2026 at 03:51 | Editorial boerse-global.deT1 Energy has filed a prospectus supplement covering up to 13,440,860 shares for possible resale by Discovery Capital Management, tied to the potential conversion of additional convertible notes with an aggregate principal amount of $50.0 million. The notes carry a 4.75% coupon and mature in 2031.
The filing itself is not a sale, and T1 Energy would receive no proceeds from any resale by Discovery. The registration is explicitly linked to a possible resale following conversion of the notes in question, with Discovery named as the potential seller.
An Import Waiver as the Bridge Between Two Plants
Away from the financing paperwork, the more telling development for the industrial story came on October 22, when T1 Energy disclosed an exception granted by the US Commerce Department. The waiver permits imports of solar cells totaling up to 1.725 gigawatts for the G1_Dallas module plant, while construction of the G2_Austin cell factory continues.
That is more than an administrative footnote. According to the company, the authorization allows uninterrupted manufacturing during the remainder of the factory build — imported cells and the ramp-up of in-house cell production are not in conflict. The imports are meant to secure the transition.
Should investors sell immediately? Or is it worth buying T1 Energy?
The arrangement captures the dual nature of T1 Energy's buildout: the path to its own cell manufacturing runs, for now, through supplied cells. Focusing only on the future plant misses the importance of current operations; focusing only on the import waiver loses sight of the construction project.
Orders Cover More Than Four Gigawatts of 2027 Capacity
On the demand side, T1 Energy has signed offtake agreements for more than 1.58 gigawatts of advanced solar modules, with delivery expected in 2027 and 2028. Counterparties include subsidiaries of Avantus.
Company figures put more than four gigawatts of the manufacturing capacity planned for 2027 under contract. That gives the sales plan a concrete foundation, though contracted capacity is not yet revenue booked. The agreements address the customer side; the import waiver addresses supply for the existing plant.
T1 Energy at a turning point? This analysis reveals what investors need to know now.
November 12 as the Next Operational Test
T1 Energy plans to publish third-quarter 2026 results on November 12, with a conference call announced for the same day. That date offers investors the next occasion to weigh operating progress against the contract announcements.
The industrial case rests on the combination of module production already running, a cell factory under construction in Austin, and the interim supply arrangement for Dallas. How well demand and executable production fit together is what the story must ultimately be measured against.
