Taboola has moved to swallow Dianomi, the London-listed specialist in premium financial and business advertising, in a deal that could value the smaller firm at as much as £27 million. The Nasdaq-quoted acquirer confirmed on Friday that it had tabled a formal offer for the entire issued — and yet-to-be-issued — share capital of its British rival, with the target's board already throwing its weight behind the proposal.

Cash upfront, with a performance kicker

Under the terms, Dianomi shareholders would receive 64 pence a share in cash straight away, a 68% premium to the 38.0 pence closing price on the day before the announcement. That initial cash component alone values the company at £19 million.

A deferred element could lift the payout considerably. Should certain performance targets be met, an extra 24 pence a share would follow, taking the total consideration to as much as 88 pence per share and the headline value of the transaction to roughly £27 million.

The buyer is Taboola Europe Limited, a wholly owned subsidiary of US-based Taboola.com Ltd. Dianomi's management has recommended the offer to investors, and Taboola said it has already locked in support from shareholders controlling more than three-quarters of the company's equity — making approval at the upcoming general meeting a near-certainty. Completion is expected before the end of 2026, subject to the usual regulatory clearances and a final shareholder vote.

A growth story that caught Taboola's eye

The approach lands just days after Dianomi published interim results for the first half of 2026, covering the six months to 30 June. Revenue edged up 2% to £13.4 million from £13.2 million a year earlier, marking a return to growth, while the gross margin improved to 28.9%.

The EBITDA loss narrowed sharply year on year, having stood at £0.6 million in the first six months of 2025, although the company still posted a loss per share of -1.17 pence for the period. Client momentum tells a similar story. Dianomi brought in 67 new premium advertising partners during the half, a 56% jump on the prior-year period. Management also pointed to fresh strategic tie-ups with heavyweights including CNN News and Associated Press, which began contributing revenue from the second quarter of 2026.

Investment in technology has run in parallel, with the rollout of "Dianomi Interactive" and the development of AI-driven analytics tools designed to sharpen how ad content is targeted and delivered.

Momentum carries into the second half

The positive trend has not faded since the half-year mark. In July and August, revenue climbed 14% compared with the same months a year earlier, reinforcing the picture of a broad recovery across the premium segment of the digital advertising market.

For Taboola, absorbing Dianomi is a play to deepen its footprint in specialised ad networks and extend its global reach through the integration of Dianomi's content-recommendation technology. Industry watchers read the move as the latest sign of consolidation sweeping the digital ad space, as players bulk up to meet new technical demands and shifting data-protection rules.

No rival bidder has emerged publicly, leaving the recommended deal as the most likely path forward. Until completion, expected at the end of 2026, Dianomi will keep running its business independently, with attention already turning to preparing for life inside the Taboola group.
