Thyssenkrupp has circled 8 December 2026 on the calendar. That is the date the group's annual financial report for fiscal 2025/2026 is scheduled to land, alongside the annual press conference and the analyst and investor conference. The announcement itself carries no business figures — but it arrives at a moment when the conglomerate's restructuring is moving from blueprint to balance sheet, and investors will soon have to judge the two together.

The structural milestone is already behind the company. Roughly a week before the report date was confirmed, Thyssenkrupp completed the carve-out of its materials trading division, listing it as tk accelis. The parent retained 51% of the shares, a majority holding that keeps the newly floated business tethered to the group. Reuters framed the listing as part of Thyssenkrupp's transformation into a financial holding company.

That 51% stake matters for how the transaction should be read. A stock market listing gives tk accelis its own valuation; it does not amount to a full exit by Thyssenkrupp, and it does not by itself answer the question of what the restructuring contributes economically. Investors would be wrong to treat the spinoff as a complete sale — and equally wrong to infer a specific earnings contribution from the fact that the shares now trade.

Steel Is Being Groomed, Not Sold

The next chapter concerns the steel division. Chief executive Miguel LĂłpez told Reuters on 28 October that the unit is being prepared for a possible separation via an IPO. Efforts to find partners had come up empty, which leaves the capital market as the route to independence. A sale, LĂłpez said, is not on the table for now.

The distinction between preparation and execution is the one that counts here. A unit being readied for a listing is not a resolved spinoff, and anyone pricing a successful IPO into their investment case today would be running ahead of the confirmed position. Nor does LĂłpez's statement point to an imminent disposal.

Should investors sell immediately? Or is it worth buying Thyssenkrupp?

Operationally, there is separate movement at the Duisburg end. The final amended funding decision for the tkH2Steel project allows hydrogen input to be ramped up in stages and with greater flexibility. Thyssenkrupp Steel is preparing a fresh tender for long-term hydrogen supply to support that. The flexibility is real, but it applies to the project — it does not settle the ownership question hanging over the steel business.

A Lower Target, an Unchanged Rating

Deutsche Bank Research weighed in on Thursday, trimming its price target to EUR 17 from EUR 18 while keeping the stock at "Buy." A reduced target paired with a positive rating is a familiar combination: a more cautious valuation attached to a fundamentally constructive view.

What that leaves investors with before December is a two-track framework. The market prospects for steel belong in the "possibility" column, not the "realised value driver" column. The annual report, meanwhile, will supply the financial baseline against which the whole restructuring story gets measured. The two belong side by side — conflating them is where the risk lies.

What December Has to Show

The decisive variable is not how many structural measures have been completed but whether they translate into a more convincing outlook for the group and its holdings. A finished spinoff and a prepared option are different stages of the same strategy, and a credible investment case has to hold both against the actual business performance rather than in place of it.

If the numbers back the strategy, the reorganisation becomes a legible part of the equity story — tk accelis as one building block in a clearer group setup, steel as a possible next step. If the annual report instead deepens doubts about the economic viability of the overhaul, structural headlines should lose their weight as a valuation argument. Further organisational progress would not be meaningless, but it would have to be weighed against the operating trend instead of crowding it out.

Until 8 December, the task for shareholders is straightforward: keep completed measures and prepared options apart, and insist that strategy and business development move in step. A new corporate structure on its own does not substitute for that proof — and no further restructuring announcement should be assumed to create value automatically.
