The sale of a $39 million federal tax credit – a move designed to bolster Plug Power’s cash position – triggered the opposite reaction on Friday, with shares tumbling 9.9% to €2.80. The market’s cold shoulder reflects a deeper unease: the hydrogen company faces a pivotal shareholder vote next week and a fast-approaching deadline to close a far larger asset sale.

Shareholders will gather on June 11 to vote on a management proposal to expand the stock option plan by 25 million new shares. The dilution threat has poisoned sentiment since the agenda was announced, all the more so after law firm Kuehn Law opened an investigation into potential breaches of fiduciary duty by the board. Chief Financial Officer Paul Middleton spent early June pitching institutional investors on the strategy, but the feedback was frosty, with dilution fears front and centre.

The tax credit sale that was meant to calm those fears instead became the occasion for profit-taking. The credits originated from the St. Gabriel, Louisiana, hydrogen liquefaction plant – a joint venture with Olin Corporation called Hidrogenii that began producing up to 15 tonnes of liquid hydrogen daily in April. The disposal is the second such monetisation in six months, following a $30 million credit sale from the Woodbine, Georgia, facility in January. Chief Executive Jose Luis Crespo described the programme as a tool for “greater financial flexibility” that avoids new debt or equity issuance.

That flexibility will be severely tested by a more consequential transaction: the sale of Project Gateway in New York to Stream Data Centers. The deal, worth between $132 million and $142 million, carries a hard deadline of June 30. If it closes, the financial pressure on Plug Power eases significantly; if it falls apart, both sides can walk away. The cash is already earmarked to fund operations through the fourth quarter, when management targets a positive EBITDAS.

Should investors sell immediately? Or is it worth buying Plug Power?

Plug Power ended March with $802 million in total cash, but only $223 million was freely available. The Gateway proceeds would nearly double that accessible pool. First-quarter revenue rose 22% to $163.5 million, and the gross margin improved, though the company remains deep in the red.

On the corporate governance front, board member Kavita Mahtani announced her resignation, citing a new leadership role at Wells Fargo rather than any internal dispute. Separately, the company received approval for the 30-megawatt Barrow hydrogen project in Cumbria, England, one of the largest industrial green-hydrogen plants in the country.

Technically, the stock has little room to manoeuvre. The relative strength index has slipped to 42.7, indicating the recent rally is losing steam. The share price hovers just above the 50?day moving average of €2.74, a level that has provided support in recent sessions. The current price is 24.77% below the 52-week high of €3.72 reached earlier this month, though the stock still carries a 266% gain over the past twelve months.
