Sivers Semiconductors: Insider Sells 100M SEK as AGM Approaches, Testing the Durability of the AI-Led Rally

Sivers Semiconductors heads into AGM with stock up 38.5% after AI photonics deal, but a SEK 99.5M insider sale and extreme volatility raise caution ahead of board vote and Nasdaq listing plans.

Sivers Semiconductors AGM: Insider Sale Clouds AI-Driven Stock Rally

Sivers Semiconductors heads into its annual general meeting on June 15 with the stock still riding a dramatic wave — but a hefty insider sale has injected a note of caution into the narrative. The Swedish chipmaker’s shares have more than doubled from their March trough, fueled by a photonics partnership aimed at the artificial-intelligence data-center market, yet the recent 99.5 million Swedish kronor sale by a key executive raises questions about how management views the current valuation.

The AGM in Stockholm will see shareholders vote on a new board of directors, a move the company frames as part of a broader push to strengthen international leadership during its U.S. expansion. That expansion includes an "audit uplift" to PCAOB standards — a prerequisite for a potential secondary listing on the Nasdaq in New York, which would open up deeper access to North American capital markets.

Partnership Ignites Rally, but Volatility Remains Extreme

The stock’s recent surge was ignited on June 2, when Sivers announced that its laser arrays would be integrated into GlobalFoundries’ silicon-photonics platform. The technology targets the fast-growing market for AI data centers, and the company’s "opportunity pipeline" stands at $799 million, according to its first-quarter 2026 interim report.

By Monday, the shares had climbed 17.4% to €7.86, bringing the weekly gain to 38.5%. Yet the move comes within a period of extraordinary turbulence: the annualized 30-day volatility is 249.5%, a reflection of the extreme swings that have characterized the stock. The 52-week high of €10.23 was set on June 3, meaning the current price is still roughly 23% below that peak — but the recovery from the March low of €0.27 is nothing short of spectacular.

Should investors sell immediately? Or is it worth buying Sivers Semiconductors?

Mixed Financials Beneath the Surface

The first-quarter numbers paint a nuanced picture. Net sales fell 22% to SEK 61.9 million, held back by delays in U.S. defense budgets and unfavorable currency moves. On the other hand, the order pipeline surged 77%, and the company raised SEK 125 million in an equity offering to fund its photonics and LiDAR ambitions.

The insider sale that has captured attention belongs to Harish Krishnaswamy, managing director of subsidiary Sivers Wireless. On May 29, he sold approximately 1.39 million shares at SEK 71.36 each, netting just under SEK 99.5 million, according to the Swedish insider register. The transaction stands out not only for its size but also because no insider has bought shares in the past three months — all trades have been sales. A smaller disposal by Krishnaswamy and board member Tomas Duffy occurred in March.

Such insider selling often triggers skepticism, but the market has so far focused on the long-term AI story and the upcoming strategic decisions. The short-seller report from Ningi Research earlier this month, which initially pressured the stock, and the law firms examining class-action possibilities have been set aside for now.

Sivers Semiconductors at a turning point? This analysis reveals what investors need to know now.

A High-Stakes Vote

The AGM on June 15 is the next catalyst. All shares carry equal voting rights, and the meeting is the supreme decision-making body. Registration closed on June 9. Investors will weigh the promise of a Nasdaq listing and the photonics opportunity against the insider profit-taking and the lingering short-seller allegations. With volatility at 250%, the outcome of the vote — and the market’s reaction — could set the tone for the next leg of this roller coaster.
