T1 Energy's acquisition of KORE Power has drawn a sharply divided response from the market. The deal, valued at roughly $32 million, positions the company to serve the booming electricity needs of AI data centres, yet it triggered a near 20% sell-off in the stock on the announcement day, sending the price to $9.43. The following session saw a modest recovery to €8.40 in European trading, but the damage underscored deep investor unease.

The transaction is funded through a mix of equity, cash and debt. At closing, T1 Energy will issue shares worth about $9.6 million. An earn-out clause could add up to another $9.6 million in stock, tied to performance milestones in the 2026 and 2027 fiscal years. A further $5.5 million in shares may become payable if certain receivables are successfully collected. The deal is expected to close in the second quarter of 2026.

A portfolio of 1,100 battery projects

KORE Power brings software and battery energy storage systems (BESS) managed through its NRI division, giving T1 Energy an instant footprint of roughly 1,100 global storage projects. Management sees this as the engine for delivering power solutions to AI data centres, where electricity demand is climbing rapidly. The newly acquired unit is forecast to contribute positive EBITDA from 2026, reaching an annual run rate of $15 million to $20 million by 2027.

Northland Capital initiated coverage with an "Outperform" rating and a $16 price target, calling the move a strategic fit. The analyst noted that T1 Energy now owns the software and storage technology needed for the utility-scale market.

Financials: growth spending weighs on the bottom line

T1 Energy released its first-quarter results alongside the acquisition news. Adjusted EBITDA came in at $9.1 million, and the company reported net income of $3.9 million — but that was dwarfed by a total net loss of $21.4 million as expansion costs and ramp-up spending took a toll. The balance sheet shows $46.4 million in cash as of the end of March. Trading volume on the announcement day surged above 40 million shares, multiples of the daily average.

A broader market rout amplified the drop

The stock's slide was worsened by a harsh day on Wall Street. Strong US jobs data reignited interest-rate fears, sending the S&P 500 down 2.64% and the Nasdaq 4.18%. T1 Energy's shares were caught in the sell-off, compounding the disappointment over the dilution implied by the deal's stock component.

Despite the setback, the stock had rallied roughly 62% over the prior 30 days from its April lows. The all-time high of €11.00, set in early June, remains about 24% away — a gap that the multiple equity issuances from this transaction are unlikely to close soon.
